Questions Every Potential Director Should Ask

  • What is the mission of the organization? The response should be why it does what it does, the organization’s reason for being. If there is no mission statement, or the response focuses on the what and not on the why it does what it does, say good-bye.
  • What is the board’s vision of the future? This question should bring an illuminating response. No vision, no acceptance. Some visions of the future are so compelling, we sign on almost before we go down the list of questions a prudent potential board member asks. Others make it simple to decline.
  • Is there a positive partnership between the chairman and the president or CEO? The board should see the president as the partner of the board, not as a subordinate. A positive partnership here provides a model for the board as a whole and for the enterprise.
  • Does the president or CEO appreciate and observe the clear and sharp differentiation between governance and management? The demarcation between governance and management is critical, with management not attempting to establish policy, and the board not attempting to manage the organization.
  • Is this a learning organization? Look for continuing leadership development opportunities for both board and staff.
  • Are the corporation’s most recent audit and yearly financial reports and annual report delivered along with the invitation to serve? Read them carefully before you accept. If they’re not provided, decline.
  • What is the climate at board meetings? Check for comprehensive background material, energetic engagement, and full disclosure before action is taken.
  • Does the board, as Peter Drucker advises, see the president as “the hinge to the board”? Other members of the management team should not have private relationships with board members, creating power pockets that can diminish and divide.
  • Does the organization have directors and officers insurance? This is essential in these litigious times.
  • What does the organization hope I will contribute as a new board member? And ask yourself as well what you will bring to this board that will further the mission, enhance the results.
